Terms and Conditions for Company Registration and Visa Services
This Agreement is entered into between INCORPRO ME FOR CORPORATE SERVICES
PROVIDERS L.L.C. S.O.C. ("inpro") and you ("the Client"). These Terms and Conditions
apply to the services outlined in the quotation and/or invoice provided by inpro. By agreeing to
these terms, you confirm your acceptance of the following terms where they apply:
1. New Companies
1.1. Starting the Registration Process
The process to register a new company begins once you submit all required documents as per
the authority guidelines and pay the invoice in full. At this point, these Terms and Conditions
become a binding agreement between you and inpro.
1.2. No Responsibility for Authority Decisions
In rare cases, the relevant authorities may reject a company registration application. inpro is not
responsible or liable for such rejections, as these decisions are beyond our control. If the
rejection is due to issues related to the applicant, shareholders, managers or employees (e.g.,
failure to pass security clearance by UAE authorities), inpro can assist in negotiating with the
authority and submit a written request for authority fees to be refunded to the client. inpro is not
reliable for the authority’s decision in the refund.
1.3. Additional Information
inpro, as the consultant handling the formation, registration, and regulation of the new
company, may request additional documents, information, or clarifications upon authority
request from the client as needed.
1.4. No Illegal Activities
By signing these Terms and Conditions, you confirm that you are not involved in any illegal
activities, such as money laundering or other actions that could harm the reputation of the UAE
authorities, government, or the country.
1.5. Authority Discretion
The approval of a company registration application is entirely up to the relevant authorities.
They may reject an application or request additional documents or guarantees at any time.
1.6. License Renewal
When a company license is not renewed within 30 days of the license expiration date, the
registered authority may impose late fines on the company license, establishment card,
E-Channel and any other authority issued documentation or licensing. inpro will send reminders
for renewals if applicable and needs at least five (5) working days to process any renewal
request. Any penalties, fines, or charges imposed by governmental authorities for late
compliance or non-compliance shall be issued directly to the Client and shall be the sole
responsibility of the Client to settle in full.
1.7. Changes to an Existing Company
If your company is already registered and you hold the license, you can request changes,
upgrades, or downgrades for additional fees. inpro will provide a fee quote and offer additional
services if you choose to use them. In the event that the company comprises multiple
shareholders or undergoes a transfer of ownership to new parties, unanimous consent from all
shareholders shall be required, evidenced by a duly executed board resolution. inpro may
provide assistance in facilitating the preparation and execution of such resolution.
1.8. Business Activities
Companies registered in the UAE may conduct business within the UAE and elsewhere, as long
as they follow applicable laws. inpro does not provide advice on financial, insurance, legal, or
regulatory matters.
1.9. Tax and Financial Responsibilities
The company owner and / or shareholder(s) are responsible for all tax, accounting, and financial
obligations, including submitting required documents and information to the authorities on time.
inpro does not hold any responsibility.
2.0. Fees / Proposal Modification (DED)
All costs and fees referenced within the proposal initially shared are subject to modification at
the discretion of the Dubai Economic Department (DED) or other relevant governmental
authorities in the United Arab Emirates. Such changes may occur without prior notification to
external parties, as is customary with regulatory pricing adjustments in the UAE. Any updates in
costing will be shared directly with you prior to payment.
2. Visas (If Applicable)
2.1. Changes to Visa Rules
Visa and residency rules are at the sole discretion of UAE immigration and must be followed at
all times. These changes can be subject to adjustments frequently across the year and must be
followed. Any changes applicable to the client will be shared at time of first application and
renewal.
2.2. Requirements for Visa Applications
To apply for a visa, your company must have an Establishment Card and an E-Channel
Subscription. You must pay the fees for these, as well as the visa itself, to the authorities. The
E-Channel Subscription allows the authorities to process visa applications online for your
company. To keep employee or investor visas valid and to apply for new ones, you must renew
the Establishment Card and E-Channel Subscription before the expiration date . Failure to do so
may result in fines set by the authorities or Immigration for your attention.
2.3. Visa Validity
Residence visas issued by Immigration are valid for the duration specified in your chosen
license package.
2.4. Visa Renewals and Cancellations
The client is responsible for ensuring your employees have valid employment or residence visas
and for renewing or canceling them on time. inpro will send reminders to help with this process
but needs at least five (5) working days to process renewal requests. inpro is not responsible
for delays, penalties, or rejections. Any penalties, fines, or charges imposed by governmental
authorities for late compliance or non-compliance shall be issued directly to the Client and shall
be the sole responsibility of the Client to settle in full.
2.5. Visa Overstays
inpro is not responsible for any employee visa overstays or penalties imposed by Immigration
authorities as a result.
2.6. Visa Application Rejections
inpro is not responsible for any visa application rejections by Immigration authorities.
2.7. Visa Limits
The company must not exceed the number of visas allowed under the chosen license package.
A license amendment and package upgrade will be done as per the authority guidelines and
costs. inpro will provide a quote upon request.
2.8. Employee Obligations
As a license holder, you are responsible for meeting all financial obligations to your employees
(e.g., salaries, allowances, vacation time) as outlined in employment agreements, which must
comply with UAE Labour Law.
3. Limitation of Liability
inpro's liability to the Client shall be limited to the aggregate amount of professional fees paid by
the Client to inpro under the terms of this agreement. inpro does not guarantee or warrant the
outcome of any decisions made by the relevant UAE regulatory authorities, as such authorities
retain sole and final decision-making authority with respect to all matters pertaining to the Client
or any interested parties.
4. Governing Law and Disputes
This agreement is governed by the laws of the United Arab Emirates. Any disputes will be
handled by the courts in the Emirate of Dubai. If you fail to make payments, inpro may bring a
claim in the Dubai International Financial Centre courts or the courts in the client country of
residence.
5. No Objection Clause
When the client wishes to work directly with the authorities or another agent, they must request
an NOC certificate from inpro at the cost of AED 5,000 and submitted by email to
management@inprome.com. The fee is to cover all administration and handover costs of the
license and all associated visas/documents. Once the client has paid the invoice to inpro it will
take 3 to 5 working days for the management team to issue the NOC.
6. Professional / Consultancy Fee
The professional or consultancy fees are fixed and final. No refunds shall be made on this fee
regardless of the outcome of services requested from inpro.
