This Agreement is entered into between INCORPRO ME FOR CORPORATE SERVICES PROVIDERS L.L.C. S.O.C. ("inpro") and you ("the Client"). These Terms and Conditions apply to the services outlined in the quotation and/or invoice provided by inpro. By agreeing to these terms, you confirm your acceptance of the following conditions where applicable.
1. New Companies
1.1 Starting the Registration ProcessThe company registration process begins once all required documents are submitted as per authority guidelines and the invoice is paid in full. At this point, these Terms and Conditions become a legally binding agreement between both parties.
1.2 No Responsibility for Authority DecisionsIn rare cases, relevant authorities may reject a company registration application. inpro is not liable for such decisions, as they are beyond its control. If rejection occurs due to issues related to applicants, shareholders, managers, or employees (e.g., security clearance failure), inpro may assist in communication with authorities and request a refund of authority fees on behalf of the client. However, final refund decisions remain at the discretion of the authority.
1.3 Additional Informationinpro may request additional documents, clarifications, or information as required by the relevant authorities.
1.4 No Illegal ActivitiesBy accepting these terms, the Client confirms they are not involved in any illegal activities, including money laundering or any activity that may harm the reputation of UAE authorities or the country.
1.5 Authority DiscretionFinal approval of company registration rests solely with the relevant government authorities, who may reject applications or request additional documents at any time.
1.6 License RenewalFailure to renew a company license within 30 days of expiry may result in penalties imposed by authorities. These may include fines on the license, establishment card, E-Channel, and other documents. inpro will send renewal reminders where applicable and requires at least five (5) working days to process renewal requests. All penalties and fines imposed by authorities remain the sole responsibility of the Client.
1.7 Changes to an Existing CompanyClients may request upgrades, downgrades, or modifications for additional fees. A quotation will be provided accordingly. In case of shareholder changes or ownership transfer, unanimous consent of all shareholders is required via a duly executed board resolution. inpro may assist in its preparation.
1.8 Business ActivitiesCompanies may conduct business within the UAE and internationally, subject to applicable laws. inpro does not provide legal, financial, insurance, or regulatory advice.
1.9 Tax and Financial ResponsibilitiesThe Client is solely responsible for all tax, accounting, and financial obligations, including timely submissions to authorities. inpro holds no responsibility in this regard.
2.0 Fees / Proposal Modification (DED)All fees mentioned in proposals are subject to change at the discretion of the Dubai Economic Department (DED) or other UAE authorities. Any updates will be communicated prior to payment.
2. Visas (If Applicable)
2.1 Changes to Visa RulesVisa and residency regulations are governed by UAE immigration authorities and may change at any time. Clients must comply with updated rules.
2.2 Visa Application RequirementsVisa applications require an active Establishment Card and E-Channel Subscription. All associated fees must be paid by the Client. Failure to renew these may result in penalties imposed by authorities.
2.3 Visa ValidityResidence visas are valid according to the duration specified in the selected license package.
2.4 Visa Renewals and CancellationsThe Client is responsible for ensuring timely renewal or cancellation of visas. inpro provides reminders but requires at least five (5) working days for processing requests. Any penalties or delays imposed by authorities remain the Client’s responsibility.
2.5 Visa Overstaysinpro is not responsible for penalties arising from visa overstays.
2.6 Visa Application RejectionsVisa approvals are at the sole discretion of immigration authorities, and inpro bears no responsibility for rejections.
2.7 Visa LimitsThe number of visas must not exceed the limit under the selected license package. Any upgrade will be subject to authority approval and additional costs.
2.8 Employee ObligationsThe Client is responsible for all employee-related obligations including salaries, benefits, and compliance with UAE Labour Law.
3. Limitation of Liabilityinpro’s liability is limited to the total professional fees paid by the Client. inpro does not guarantee outcomes of decisions made by UAE authorities, which remain final and binding.
4. Governing Law and DisputesThis Agreement is governed by the laws of the United Arab Emirates. Any disputes shall be handled by the courts of Dubai. In case of non-payment, inpro may pursue legal action through DIFC courts or the courts of the Client’s country of residence.
5. No Objection Clause (NOC)If the Client wishes to work with authorities or another agent, an NOC must be requested from inpro. The NOC fee is AED 5,000, covering administrative and handover costs for licenses and visas. Issuance takes 3–5 working days after payment and request submission via email to management@inprome.com.
6. Professional / Consultancy FeeAll professional and consultancy fees are fixed and non-refundable, regardless of service outcome.
The Client agrees that all communications regarding renewals and related matters will be sent to the provided email address. It is the Client’s responsibility to ensure the email remains active and accessible. inpro is not liable for missed communications due to email inaccessibility or changes.
